Public contract (Offer)<\/strong><\/p>\n\n

Individual entrepreneur Dmytro Yuriyovych Trukhin<\/strong>, acting on the basis of the Extract from the Unified State Register of Individual Entrepreneurs and Public Organizations (hereinafter – the \u201cUSR\u201d), record No. 3049510496<\/strong> dated the date of registration<\/strong> (hereinafter – the \u201cContractor\u201d), guided by the Civil Code of Ukraine, other legislative and by-law regulatory acts in the field of economic activity, offers individuals (hereinafter – the \u201cCustomer\u201d) to receive information and consulting services provided for in this Agreement.<\/p>\n\n

This Agreement is public in accordance with Articles 633, 641 of the Civil Code of Ukraine, its terms are the same for all Customers, whose unconditional acceptance is considered acceptance of this offer by the Customer, for which the Contractor publishes this Agreement to this effect:<\/p>\n\n

1. General Provisions.<\/strong><\/p>\n\n

1.1. A public contract is a transaction for the provision and receipt of information and consulting services, which establishes the same conditions for all Customers for the provision of these services on the terms of a public offer from the moment of its acceptance by the Customer (hereinafter referred to as the \u201cAgreement\u201d).1.2. Public Offer – an offer of the Contractor addressed to any individual, in accordance with Article 641 of the Civil Code of Ukraine, to conclude an agreement with him\/her contained in the public offer.1.3. Acceptance means the Customer’s full and unconditional response to the Contractor’s proposal to conclude the Agreement on the terms specified in the public offer by transferring funds in the amount of the full cost of services to the current account of the Contractor, which indicates the Customer’s acceptance of the public offer.1.4. Customer – an individual who has entered into this Agreement with the Contractor.1.5. Website – the Contractor’s website on the Internet, located at: https:\/\/kubik.teritoriyrozvitku.com.ua 1.6. Party – the Contractor or the Customer – depending on the context.<\/a>1.7. Parties – the Contractor and the Customer.1.8. Services – within the meaning of this Agreement: a list of services offered by the Contractor and displayed on the Contractor’s Website, namely: services for providing individual consultations to the Customer; information services. The term \u201cServices\u201d is used in this Agreement to refer to the Services in general and to any type of them.1.9. Information services within the meaning of this Agreement are the Contractor’s author’s courses and individual consultations (hereinafter referred to as the Services), access to which is provided by the Contractor in the form of a personal link that allows viewing it directly on the Internet and\/or downloading it as a video file to the Customer’s computer.1.10. Personal link is a personal alphanumeric code or other code that allows the Customer to access the courses for the purpose of viewing or downloading it.1.11. The legal relations under this Agreement are governed by the legislation of Ukraine, in particular the Law of Ukraine \u201cOn Consumer Protection\u201d No. 1023-XII of May 12, 1991, the Civil Code of Ukraine No. 435-IV of January 16, 2003, the Law of Ukraine \u201cOn Electronic Commerce\u201d No. 675-VIII of September 03, 2015.1.12. The fact of payment for the Services confirms that the Customer accepts and agrees to all the terms of this Agreement. <\/p>\n\n

2. Subject of the Agreement.<\/strong><\/p>\n\n

2.1. Under the terms of this Agreement, the Contractor shall provide the Customer with the Services selected by the latter, information about which is posted on the Website, to the extent and in the manner additionally agreed between the Parties in any messenger or social network convenient for them.2.2. The Customer shall pay the Contractor the full cost of the Services selected by the Customer in the manner prescribed by the provisions of this Agreement. <\/p>\n\n

3. Acceptance of the Agreement.<\/strong><\/p>\n\n

3.1. Confirmation of the full and unconditional acceptance of this public offer is the Customer’s full payment of the cost of the service selected by him\/her, as specified in clause 1.8. of this Agreement.3.2. The Agreement shall be deemed concluded without its further signing from the moment the Customer performs the actions provided for in clause 1.8. 3.1. of this Agreement, which indicate the Customer’s consent to comply with the terms of the Agreement, without signing a written copy by the Parties.3.3. The Customer agrees to comply with the terms of the Agreement and receive the Services on the terms established by the Contractor.3.4. By entering into the Agreement, the Customer automatically agrees to the full and unconditional acceptance of the provisions of the Agreement, the cost of services and the terms of their provision. <\/p>\n\n

4. Terms and procedure for the provision of Services under this Agreement.<\/strong><\/p>\n\n

4.1. The Services under this Agreement shall be provided by the Contractor after the Customer has familiarized themselves with the terms of this Agreement and accepted them by making full payment of the cost of the selected Services.4.2. The Services are provided after the Customer takes the actions necessary to receive the selected Services, which in each case of the provision of the Services is additionally reported by the Contractor to the Customer in any messenger or social network convenient for the Parties.4.3. The Customer independently ensures compliance with the appropriate technical specifications for a personal computer and other mobile device necessary to receive the selected Service.4.4. The Contractor shall not be liable if the Customer is unable to receive the selected Service due to reasons beyond the Contractor’s control, in particular, but not exclusively, if the Customer does not have the ability (including technical) to receive the Service. In case of non-receipt of the Service by the Customer through no fault of the Contractor, the cost of such Service shall not be refunded or reimbursed to the Customer.4.5. The Services selected by the Customer shall be provided to the Customer within the time, in the manner and to the extent specified on the Contractor’s Website and\/or additionally agreed between the Parties in any messenger or social network convenient for them.4.6. The Services are provided by the Contractor on an \u201cas is\u201d basis. The Contractor does not guarantee that the Services provided will meet the goals and expectations of the Customer. <\/p>\n\n

5. Rights and obligations of the Parties.<\/strong><\/p>\n\n

5.1. The Contractor has the right to: 5.1.1. Involve third parties in the provision of the Service (or its individual parts).5.1.2. To unilaterally amend the terms of this Agreement, including, but not limited to: the terms and procedure for payment for the Services, the procedure for providing the Services, any details of the Contractor, by posting a new version of this Agreement on the Website.5.2. Duties of the Contractor: 5.2.1. To provide the Services under the terms of this Agreement.5.2.2. To store information and data (including personal data) provided by the Customer in accordance with the terms of this Agreement within the current legislation in the field of personal data protection.5.3. The Customer has the right to: 5.3.1. Contact the Contractor to obtain information about the Contractor’s Services, the terms of their provision and the terms of this Agreement.5.3.2. Receive any of the offered Services of the Contractor under the terms of this Agreement.5.4. Obligations of the Customer: 5.4.1. Before accepting the Offer, familiarize yourself with its current terms and conditions.5.4.2. In case of agreement with the terms of this Agreement, accept it in the manner specified in clause 3.1. of this Agreement.5.4.3. To fulfill the terms of this Agreement.5.5. The Customer is prohibited from: 5.5.1. Download to their own physical media and\/or cloud storage any course materials received by the Customer from the Contractor.5.5.2. Distribute video and audio recordings of the Information Services in any way.5.5.3. Distribute course materials in the form of transcription, translation, etc.5.5.4. To use the information received from the Contractor for commercial benefit without the consent of the Contractor.5.5.5. Use the information to create a similar or competitive service or service.5.5.6. To conduct own events based on the Contractor’s Information Services.5.5.7. Violate the terms of this Agreement. <\/p>\n\n

6. The cost of the Services and the procedure of payments.<\/strong><\/p>\n\n

6.1. The cost of the Contractor’s Services is indicated in the Contractor’s e-mails and\/or messages sent to the Customer in any messenger or social network convenient for the Parties, and may vary depending on the type of Service.6.2. Payment for the selected Service shall be made by the Customer within 2 (two) banking days from the date of familiarization and acceptance of this offer, by transferring funds to the Contractor’s account specified in Article 11 of this Agreement, in the amount determined by the Contractor and notified to the Customer in e-mails and\/or messages sent in any messenger or social network convenient for the Parties.6.3. The Services under this Agreement shall be provided by the Contractor after the Customer has made an advance payment in the amount of 100% (one hundred percent) of the cost of the Services.6.4. If necessary, the Contractor may provide additional Services or parts thereof for an additional fee, which is separately agreed between the Parties.6.5. The Contractor reserves the right, at its sole discretion, to provide the Customer with individual bonuses specified on the Contractor’s Website.6.6. In case of the Customer’s refusal to receive the Services, the cost paid for the Services shall not be refunded to the Customer and shall not be reimbursed in any way, except as provided for in this Agreement.6.7. The cost of individual consultations paid by the Customer may be refunded in case of the Customer’s refusal from the services before the start of the consultations.6.8. The cost of information services (access to materials) paid by the Customer shall not be refunded or reimbursed. <\/p>\n\n

7. Liability of the Parties.<\/strong><\/p>\n\n

7.1. In case of breach of an obligation arising from this Agreement, the guilty Party shall be liable as determined by this Agreement and\/or applicable law.7.2. The Party that has breached this Agreement shall be obliged to compensate for the losses caused by such breach.7.3. All materials received by the Customer from the Contractor during the provision of the Services shall be subject to the intellectual property rights of the Contractor. <\/p>\n\n

8. Dispute resolution.<\/strong><\/p>\n\n

8.1. All disputes arising out of or related to this Agreement shall be resolved through negotiations between the Parties.8.2. If the relevant dispute cannot be resolved through negotiations, it shall be resolved in court in accordance with applicable law. <\/p>\n\n

9. Term of the Agreement.<\/strong><\/p>\n\n

9.1. This Agreement shall be deemed to be concluded from the moment of acceptance and shall remain in force until the Parties have fully fulfilled their obligations.<\/p>\n\n

10. Other conditions.<\/strong><\/p>\n\n

10.1. The Agreement shall be concluded by means of information and telecommunication systems and shall be deemed to be concluded in writing.10.2. By accepting the Agreement, the Customer voluntarily consents to the collection and processing of their personal data.10.3. The Contractor confirms that he is a single tax payer (group 2) <\/p>\n\n
